TERMS AND conditions
Our Terms & Conditions are designed to keep things clear, fair, and smooth from start to finish. They outline how we reserve dates, handle payments, and manage rescheduling so expectations are aligned and your engagement is protected. In short: transparency up front, mutual respect throughout, and a process built to support great work.
Order of Precedence
If SOLWRK and Client sign a separate written agreement for a specific engagement, that agreement controls only where it conflicts with these Terms & Conditions. All other terms on this page remain in effect.
Fees & Payment
Payment terms are stated on your invoice or booking confirmation. Unless otherwise stated in writing:
The remaining balance is due 14 calendar days before the scheduled service date.
If booked within 14 days of the service date, full payment is due at booking.
If payment is not received by the due date, SOLWRK may pause preparation, withhold deliverables, and/or treat the engagement as a Client cancellation subject to the cancellation policy.
Late Fees: Past-due balances may incur a late fee of 1.5% per month (or the maximum permitted by law), calculated on the outstanding balance until paid.
Force Majeure
Neither party is liable for failure or delay due to events outside reasonable control (including severe weather, natural disasters, power/internet outages, venue closures, strikes, civil disturbances, public health emergencies, or acts of government). If a force majeure event prevents delivery, both parties agree to reschedule in good faith. If rescheduling is not possible within 90 days, SOLWRK may, at its discretion, issue a credit for amounts paid excluding completed preparation work and any non-recoverable costs.
Recording & Distribution
Client may not record (audio/video), photograph, livestream, or distribute any portion of SOLWRK services without prior written consent. If SOLWRK grants written permission to record, the recording is for internal use only and may not be sold, posted publicly, shared outside the organization, edited into promotional content, or used to train third parties without written permission. Brief screenshots for internal notes are permitted only if they are not posted publicly.
Intellectual Property
All SOLWRK frameworks, methods, tools, slide content, worksheets, templates, and written materials remain the exclusive property of SOLWRK. Client receives a limited, non-transferable license to use provided materials for internal purposes within Client’s organization only. Client may not reproduce for resale, publish, distribute outside the organization, sublicense, or create derivative works without written permission.
Client-owned materials (logos, internal data, proprietary documents) remain Client property.
What you can expect
Deposits & Date Reservation
A non-refundable deposit is required to reserve your date and begin preparation. Your date is not confirmed until the deposit is received and cleared. Deposit amount and due date are stated on your invoice or booking confirmation. Deposits are non-refundable under all circumstances.
One-time Transfer: You may transfer your deposit one time to a new date if you request rescheduling in writing (email to inquiries@solwrk.co) at least 15 calendar days before the scheduled service date. The transferred deposit must be used within 90 days of the original date and is subject to SOLWRK’s availability. If you do not reschedule within this policy, the deposit is forfeited.
Cancellations & Rescheduling
All requests must be submitted in writing to inquiries@solwrk.co. Timeframes are measured in calendar days based on the scheduled service date, using Pacific Time (PT).
30+ days prior: One reschedule permitted at no additional fee, subject to availability.
15–29 days prior: One reschedule permitted, subject to availability, plus a reschedule fee equal to 10% of the total engagement fee (minimum $750).
0–14 days prior: Rescheduling is not guaranteed. If you cancel within 14 days of the scheduled service date, the remaining balance becomes immediately due, because SOLWRK has reserved capacity and preparation time.
Reschedule Limit: Only one reschedule is permitted per engagement. If you reschedule and later cancel, it is treated as a cancellation under this policy. If SOLWRK is unable to accommodate a requested reschedule date, the engagement is treated as a cancellation.
Reschedule Fee Calculation: The reschedule fee is calculated from the total engagement fee listed on the invoice, not including payment processing fees.
Services & Scope of Work
SOLWRK provides speaking, workshop facilitation, and consulting services as described in the invoice, booking confirmation, or written agreement (“Engagement Details”). Only what is listed in the Engagement Details is included.
Examples of items that are not included unless explicitly stated: additional meetings, custom toolkits, additional revisions, extended Q&A, recording edits, follow-up training, onsite staffing, travel logistics, or post-event consulting.
Confidentiality
SOLWRK will treat non-public information shared by Client as confidential and will not disclose it except as needed to deliver services or as required by law. Confidentiality does not apply to information that becomes public through no fault of SOLWRK, was already known, is independently developed, or is lawfully received from a third party.
Client Name Use: SOLWRK may list Client name and logo as a past client unless Client requests confidentiality in writing before services begin.
No Guaranteed Outcomes
SOLWRK does not guarantee specific outcomes or business results. Outcomes depend on factors beyond SOLWRK’s control, including participation, implementation, and organizational context.
Limitation of Liability
To the fullest extent permitted by law, SOLWRK’s total liability arising out of or related to a specific engagement will not exceed the total fees actually paid by Client to SOLWRK for that engagement. SOLWRK will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages.
Refunds
All deposits are non-refundable. All other payments are non-refundable except where SOLWRK is unable to perform and the engagement cannot be rescheduled. In that case, SOLWRK may refund amounts paid minus (a) preparation work already completed and (b) any non-recoverable costs incurred for the engagement (for example, travel bookings made at Client’s request). Preparation work may include discovery calls, research, customization, slide development, tool creation, and coordination time.
Client Responsibilities
Client is responsible for providing accurate event details, timely approvals, and requested information by agreed deadlines. Client is responsible for ensuring technical readiness and access for virtual services (reliable internet, working audio/video, platform link, and attendee access).
If the session starts late due to Client-side delays or technical issues, SOLWRK is not obligated to extend beyond the scheduled end time, and no refund will be issued.
Privacy
We collect information you provide (name, email, phone number, company, and message content) to respond to inquiries, schedule services, process payments, and deliver services. Payments are processed through third-party payment providers; SOLWRK does not store full payment card numbers. We may collect basic analytics via cookies to improve website performance. We do not sell personal information. We share information only with vendors that help us operate (website hosting, scheduling, email, payment processing).

Website Use
The SOLWRK website is provided for informational purposes only and does not constitute legal, financial, medical, or mental health advice. You may not copy, scrape, or misuse website content or attempt to disrupt site operation. All site content is owned by SOLWRK unless otherwise stated.
Governing Law & Venue
These Terms & Conditions are governed by the laws of the State of California, without regard to conflict of law rules. Any dispute will be brought in the state or federal courts located in San Bernardino County, California, and the parties consent to personal jurisdiction there.
